Senior Director, Associate General Counsel

As Senior Director, Associate General Counsel, you will be a senior leader within the Legal Department, responsible for all aspects of our commercial contracting process. This will include overseeing our internal Contracts team and managing the negotiation of software license, service, vendor, and channel partner agreements. You will work closely with our global sales organization and Procurement and Channel Partner teams. This position includes regularly working across internal corporate functions with sales personnel, technical and product personnel, and central corporate functions on various contract matters.
Primary responsibilities will include:
- Supporting the global sales team in drafting, structuring, negotiating, and closing complex, high profile, competitive, commercial transactions and designing processes to best support the business as it evolves
- Designing and overseeing contracting processes with Anthology’s channel partners engaged to resell Anthology’s products and services
- Reviewing, drafting, and negotiating complex commercial contracts or other legal documentation with venders, partners, suppliers, and others who desire to contract with the Company
- Managing a team of attorneys and contract managers and overseeing people management activities for the global contracts team, including workforce planning, optimization, leadership, talent management, and employee development
- Serving as negotiator, drafter, and leader; delivering results under difficult circumstances, and time pressure
- Assisting in M&A due diligence and integration of mergers and acquisitions, including expanding and scaling commercial contract support to acquired companies
- Delivering creative business-minded solutions necessary to close deals and achieve results
- Assisting in the development of and optimizing contract guidelines, templates and other tools for legal team and business users; drafting and reviewing global corporate policies and processes and related compliance frameworks; and developing sales training materials
- Supporting the global sales team in worldwide compliance matters including policies and training
- Continually reviewing, and suggesting and implementing improvements to make legal operations more efficient
- Acting as trusted advisor and business partner across the company, providing counsel and guidance for accomplishing overall business objectives
The Candidate:
Required skills/qualifications:
- J.D. from an accredited law school and licensed to practice law in the U.S.
- 12-15 years of relevant work experience in a law firm and/or in-house focused on general commercial transactions
- Compliance experience with global organizations
- Excellent negotiation, drafting, and communication skills with the ability to support global sales teams and manage enterprise sales deals
- Ability to provide legal advice clearly and confidently, have strong commercial instincts, and the ability to quickly win confidence and trust
- Ability to lead diverse teams through complex negotiations, keeping all tasks organized and stakeholders clearly informed of deliverables and timelines
- Expertise with handling topics such as revenue recognition, data privacy, and security in the customer contract context
- Ability to multitask with great attention to detail and a sense of urgency and ability to meet deadlines within a changing, fast-paced environment
- Customer service focused attitude
- Team player with the ability to work with all levels of the organization
- Ability to foster good business relationships (internally and externally)
- Fluency in spoken and written English
Preferred skills/qualifications:
- Experience with federal procurement and compliance, public sector sales and government contracts
- Ability to understand business objectives, be intellectually curious, and think creatively to find resolutions to achieve requirements of all parties
- In-house legal experience with a technology company
- SaaS company experience
- Salesforce.com experience
- SharePoint experience
- Demonstrated negotiation skills
- Higher Ed or public-sector contracts experience
Pay range is $170,000 - $235,000/year depending upon experience. We use national and industry-specific survey data to assist in determining compensation. Additionally, we consider factors such as external market rate, budget for the role, and the compensation rates of current employees performing the same function. Some roles will have variable pay.
